These Terms of Service ("Terms") govern your access to and use of LGC LMS ("LMS", "the Service"), operated by LGC — Larry Group Corp (KK) ("LGC", "we", "us"), a company incorporated in Japan. By creating an account, accepting these Terms at signup, or using the Service, you ("Customer", "you") agree to these Terms on behalf of yourself and the organization you represent. If you do not agree, do not use the Service.
LMS is a hosted, multi-tenant MCP (Model Context Protocol) tool server available at https://lms.lgc.inc/mcp. You connect to it as a custom connector from your own AI client (such as Claude or, where supported, ChatGPT) using a per-tenant Bearer token. Through that connection, the Service exposes tools that act on your business systems — email, calendar, documents, cloud, code, commerce, and other integrations — on your instruction.
LMS does not include or resell an AI client. You are responsible for obtaining and maintaining your own Claude, ChatGPT, or other AI client account and complying with that provider's terms. LGC does not provide a separate LGC-hosted interface for running tools; your AI client is the runtime.
You must be a business, organization, or developer aged 18 or older and legally able to enter a contract. Each tenant is an organization ("Org"); a solo developer is an Org with one seat. You must provide accurate, complete registration information and keep it current. You are responsible for all activity under your account. Notify us immediately at info@lgc.inc of any unauthorized use.
The Service is offered under the following plans (prices in Japanese yen per month):
A "seat" is a member consuming your Org's plan. Additional seats beyond your plan's included allotment are billed at ¥2,000 per seat per month. Your monthly charge is your plan price plus any additional-seat charges. Plan features and limits are enforced according to your selected plan.
Paid plans are billed monthly in advance and renew automatically each month until cancelled. Usage-based charges — including AI/tool usage on the Pay-as-you-go plan and any metered usage on other plans — are billed per use as shown in your tenant dashboard. Prices are stated in JPY; applicable Japanese consumption tax is applied as indicated at checkout. Payment method capture and processing are handled through our payment processor [TBD — confirm processor; Stripe planned]; LGC does not store full card numbers. Paid-plan activation is subject to LGC approval and email verification.
The Free plan provides one seat for a 14-day trial. At the end of the trial, unless you upgrade to a paid plan, access may be limited or suspended. Free-trial accounts are limited to one per organization and may be subject to fraud-prevention checks. LGC may modify or discontinue the free trial at any time.
You agree not to: (a) use the Service or the tools and data it connects to for any unlawful, infringing, or abusive purpose; (b) access accounts, systems, or data you are not authorized to access; (c) interfere with, overload, or disrupt the Service or attempt to circumvent its limits, allowlists, or security; (d) transmit malware or harmful content; (e) resell, sublicense, or provide the Service to third parties except your own Org members without our written agreement; or (f) use the Service in violation of your AI client provider's or any connected service's terms.
When you connect a third-party service (such as Google Workspace, Slack, GitHub, GCP, Notion, or others), you authorize LMS to access and act on that service on your behalf, limited to executing the specific commands you issue through your AI client. Those connections are authorized by you via OAuth or API credentials and may be revoked by you at any time. You retain all rights to your data. Your data is handled as described in our Privacy Policy.
You are solely responsible for the security, licensing, and lawful use of your own connected accounts and credentials, including your AI client account and any integration tokens or API keys you provide. You are responsible for the actions taken through the Service at your instruction and for ensuring you have the rights and permissions needed to connect each service. Keep your MCP Bearer token confidential; you may rotate it from your tenant dashboard.
We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. The Service is provided "as is" and "as available" without warranties of any kind, express or implied, to the maximum extent permitted by law. We are not responsible for downtime, failures, or data loss caused by third-party services (including your AI client provider, Google, Slack, GitHub, GCP, or Anthropic) or by factors outside our reasonable control.
To the maximum extent permitted by law, LGC's total aggregate liability arising out of or relating to the Service shall not exceed the fees you paid to LGC in the twelve (12) months preceding the event giving rise to the claim. LGC is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill.
We may suspend or terminate your access, in whole or in part, if you breach these Terms, fail to pay, use the Service unlawfully or abusively, or create risk to the Service or others. You may stop using and cancel the Service at any time. On termination, your right to access the Service ends; data handling after termination follows our Privacy Policy.
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you retain access until then. Monthly fees and usage charges already incurred are non-refundable except where required by law or as expressly stated. Any refund window, if offered, is [TBD — confirm refund policy/window].
LGC retains all rights to the Service, its software, tools, branding, and documentation. You retain all rights to your data. We do not claim ownership of data processed through the Service on your behalf.
We may update these Terms by posting the revised version at lms.lgc.inc/terms. Material changes will be communicated by email to account holders. The "Last updated" date above reflects the most recent revision. Continued use after changes take effect constitutes acceptance.
These Terms are governed by the laws of Japan. Any dispute shall be subject to the exclusive jurisdiction of the Tokyo District Court (東京地方裁判所).
